By-Laws of Little Stars, LLC


Article I: Name and Purpose


Section 1. Name

The name of the organization is Little Stars Hockey Club (“Club”).


Section 2. Purpose

The Club is a for-profit Limited Liability Company organized under the laws of the State of Colorado, with the primary purpose of providing hockey training, competition, and development opportunities for youth athletes.


Article II: Business Structure


Section 1. Legal Structure

Little Stars Hockey Club is a for-profit Limited Liability Company. All profits and losses shall be allocated according to the Operating Agreement.


Section 2. Principal Office

 The Club may maintain other offices as necessary.


Article III: Membership


Section 1. Eligibility

Youth athletes between the ages of 4 and 18 may be eligible for membership upon registration and payment of applicable fees. All members must comply with Club policies, safety rules, and behavior standards.


Section 2. Fees

Membership dues and participation fees shall be set annually by the Manager(s) and must be paid in full or in accordance with payment plans.


Section 3. Rights of Members

Membership does not imply equity ownership or voting rights in the LLC. Members are entitled to participate in Club programs and events.


Article IV: Management


Section 1. Management Structure

The Club shall be managed by one or more Managing Members, as designated in the LLC’s Operating Agreement.


Section 2. Duties of Managers

Managers shall oversee business operations, staffing, budgeting, programming, and compliance with applicable regulations. Managers may hire or appoint additional personnel, such as coaches, administrative staff, or consultants.


Section 3. Meetings

Manager(s) shall meet quarterly to review financials, plan programming, and assess Club operations. Special meetings may be called as needed.


Article V: Teams and Coaches


Section 1. Team Formation

Teams will be formed based on age, skill level, and enrollment numbers. The Club reserves the right to adjust teams for balance and development purposes.


Section 2. Coaches

Coaches will be appointed by the Manager(s). Coaches must pass background checks, complete required certifications, and adhere to the Club’s code of conduct.


Section 3. Code of Conduct

All coaches, players, and parents must sign and follow the Club’s Code of Conduct, which covers sportsmanship, safety, and respectful behavior.


Article VI: Financial Practices


Section 1. Fiscal Year

The Club’s fiscal year shall begin on January 1 and end on December 31.


Section 2. Financial Management

The Manager(s) shall maintain accurate financial records and shall prepare quarterly reports. The Club may collect fees, solicit sponsorships, and sell merchandise.


Section 3. Profit Distribution

Profits shall be distributed to the Members in accordance with the LLC’s Operating Agreement.


Article VII: Liability and Insurance


Section 1. Liability

The Club shall not be liable for injuries sustained during Club activities. All participants must sign a waiver of liability.


Section 2. Insurance

The Club shall maintain general liability and accident insurance to cover participants and operations.


Article VIII: Amendments


These by-laws may be amended by the Manager(s) with written notice and approval in accordance with the LLC’s Operating Agreement.
